Membership Terms of Service
VELOCITY HEALTH MEMBERSHIP AGREEMENT
This Agreement sets forth the terms of your membership in Velocity Health’s Direct Health Care Program (“Membership”) with Velocity Health Clinic PC and its affiliated entities (collectively “Velocity Health”). The Membership is designed to provide direct, personalized health and wellness services tailored to the individual needs of our members.
INITIAL NOTICES
NOT HEALTH INSURANCE. THIS AGREEMENT IS NOT HEALTH INSURANCE AND DOES NOT MEET ANY INDIVIDUAL HEALTH INSURANCE MANDATE REQUIRED BY FEDERAL OR STATE LAW, INCLUDING THE FEDERAL PATIENT PROTECTION AND AFFORDABLE CARE ACT. THIS MEMBERSHIP COVERS ONLY LIMITED ROUTINE HEALTH AND WELLNESS SERVICES AS SPECIFIED HEREIN.
BINDING ARBITRATION. THIS CONTRACT CONTAINS A BINDING ARBITRATION PROVISION WHICH MAY BE ENFORCED BY THE PARTIES.
Member understands and accepts the above notices:
1. Membership Options and Fees
Velocity Health offers various Membership options, each with different scopes of services and fees. Your selected Membership option, as described on Velocity Health’s website or service platform, determines the range of services provided and associated costs. Membership options and fees may be updated from time to time, and you will receive at least thirty (30) days’ notice of any changes. You are entitled to the full scope of services under your current Membership option for the duration of your Membership Term.
Payment: Membership fees must be paid in advance, either in full or via an approved monthly payment plan. Membership fees are non-refundable as outlined in the Velocity Health Refund Policy.
Changes: If you do not accept changes to Membership options or fees for a subsequent term, you may terminate your Membership as described in Section 5.
2. Scope of Services
Velocity Health provides non-emergency, personalized health and wellness services, which may include consultations, health optimization plans, and referrals. These services are not a substitute for primary care, emergency care, or other specialized medical services. Velocity Health providers may recommend additional services, including diagnostics or specialist referrals, which are outside the scope of this Membership and are the Member’s responsibility to arrange and pay for.
Exclusions: Membership does not include emergency services, hospital care, laboratory tests, imaging, or medications.
Primary Care: Velocity Health does not replace your primary care physician. You are encouraged to maintain an independent primary care provider.
3. Payment and Billing
Self-Payment Only: Velocity Health does not bill insurance and is not responsible for any reimbursement claims. Members are solely responsible for all fees and payments related to services provided.
Recurring Billing: By enrolling, you authorize Velocity Health to charge your credit or debit card on a recurring basis for Membership fees. If a payment is declined, you remain responsible for payment and any resulting fees.
Changes to Payment Method: You may update your payment method by contacting Velocity Health at support@velocityhealth.com. Any delay in updating payment information may result in temporary suspension of services.
4. Term and Termination
A. Term
The initial term of this Agreement is one (1) year from the date of enrollment and payment (“Initial Term”). Thereafter, Membership automatically renews for successive one-year periods (“Renewal Terms”) unless terminated in writing at least thirty (30) days before the end of the current term.
B. Termination
By Member: You may terminate this Agreement at any time upon thirty (30) days’ prior written notice to Velocity Health. A minimum of 6 months will be billed. No refunds will be issued for payments already made.
By Velocity Health: Velocity Health may terminate this Agreement with thirty (30) days’ prior written notice or immediately if you breach this Agreement.
5. Privacy and Confidentiality
Velocity Health complies with applicable federal and state laws governing the confidentiality of medical records and personal health information, including HIPAA. Your information will only be used and disclosed as permitted under these laws.
6. Electronic Communications
By providing your contact information, you consent to receive electronic communications, including email and SMS text messages, regarding your Membership. You may opt out of non-essential communications by contacting support@velocityhealth.com.
7. Dispute Resolution and Arbitration
A. Binding Arbitration
This Agreement requires arbitration of any disputes between you and Velocity Health. Arbitration will be conducted by a neutral arbitrator under the rules of the Judicial Arbitration and Mediation Services (JAMS).
Individual Basis: Arbitration will be conducted solely on an individual basis. No class, collective, or representative actions are permitted.
Location: Arbitration will take place within 45 miles of the location where services were last provided or as otherwise agreed.
Costs: Each party is responsible for their own legal fees. Arbitration costs will be allocated according to JAMS policies.
B. Governing Law
This Agreement is governed by the laws of the state in which services were provided.
8. Miscellaneous
Severability: If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.
Assignment: You may not assign this Agreement without prior written consent from Velocity Health.
Amendments: Velocity Health may amend this Agreement with at least thirty (30) days’ notice to you. Continued use of services constitutes acceptance of changes.
